"Pay When You Sell" Service Terms

1. General Provisions


1.1. "Pay When You Sell" is a service provided by the Autoplius.lt portal (hereinafter Autoplius.lt) that allows a user to list a vehicle for sale and pay for the services only upon the sale (transfer) of the vehicle.

1.2. The service is available to private individuals only. A vehicle under this service may only be sold by the vehicle's registered owner who has verified their identity using qualified electronic means.

1.3. By using the service, the user confirms that:

1.3.1. they have read and understood these terms;

1.3.2. they understand how the service works;

1.3.3. they agree to the application of the success fee upon the sale (transfer) of the vehicle.

1.4. These terms apply to Autoplius.lt users who use the "Pay When You Sell" service and are considered special terms. These terms apply together with the general Autoplius.lt Terms of Use. In the event of conflict between these terms and the general Autoplius.lt Terms of Use, these terms shall prevail to the extent they relate to the "Pay When You Sell" service.

2. Nature of the Service

2.1. Listing a vehicle under this plan is free of charge.

2.2. The success fee applies only if the vehicle is sold (transferred) to another person.

2.3. The purpose of the service is to enable users to sell their vehicle via the Autoplius.lt platform without paying for the listing service in advance.

3. Success Fee

3.1. The success fee is calculated based on the highest listed price of the vehicle during the entire listing validity period.

3.2. The success fee is determined according to the following pricing table:

3.3. If the listing price is changed, the success fee is calculated based on the highest price listed at any point in time.

3.4. The success fee amount is shown to the user before the service is activated, but may change if the listing price increases during the validity period. In that case, the success fee is recalculated according to the table in clause 3.2.

3.5. The success fee becomes payable only upon the sale (transfer) of the vehicle.

4. Determination of Vehicle Transfer

4.1. The fact of vehicle transfer is determined based on the change of ownership rights according to data maintained by AB "Regitra".

4.2. The sale (transfer) of a vehicle is also deemed to have occurred if:

4.2.1. the user marks the vehicle as sold in their Autoplius.lt self-service account;

4.2.2. the vehicle is transferred to another person on any legal basis (including sale, gift, or other transfer) during the service validity period as defined under the "Pay When You Sell" terms.

4.3. If a listing is removed, Autoplius.lt has the right to monitor the vehicle's change of ownership for up to 30 calendar days from the date of listing deactivation.

4.4. If a change of ownership is detected during this period, it is considered that the vehicle was sold (transferred) using the service.

5. Listing Validity

5.1. The listing validity period is the period from the moment of listing activation until:

5.1.1. the expiry of the listing validity term;

5.1.2. the determination of the vehicle's transfer; or

5.1.3. the termination of the service in accordance with these terms.

Hiding or suspending a listing does not constitute expiry or termination of the service.

5.2. A listing is valid for up to 6 months from its activation date.

5.3. Upon expiry of this period, the listing is suspended.

5.4. If the vehicle is not sold (transferred) during the validity period, the success fee does not apply.

5.5. During the listing validity period (while the listing is active) and for 30 calendar days following the expiry of the listing validity, Autoplius.lt has the right to check for ownership changes with AB "Regitra". If an ownership change is recorded with AB "Regitra" during the listing validity period or within 30 calendar days of its expiry, it is considered that the vehicle was sold (transferred) using the service, and the success fee applies.

6. Payment Terms

6.1. The user must provide a valid payment card.

6.2. Upon the sale (transfer) of the vehicle, the success fee is automatically charged to the user's payment card.

6.3. Payment must be completed within 24 hours from the moment the transfer is determined.

6.4. If the automatic payment fails, the user must pay manually via the provided payment link or by bank transfer.

6.5. Autoplius.lt reserves the right to add additional payment methods by which the seller may pay for the service.

7. Payment Security

7.1. Autoplius.lt has the right to apply additional security measures, including payment card authorisation or additional identity verification.

7.2. Autoplius.lt may reject or restrict certain types of payment instruments if they pose a risk of payment failure.

7.3. The user is responsible for the validity of the provided payment instrument and for having sufficient funds available.

8. Prevention of Misuse

8.1. The user is prohibited from using the service dishonestly or in an attempt to avoid the success fee.

8.2. Misuse includes (but is not limited to):

8.2.1. artificially changing the listing price to reduce the success fee;

8.2.2. removing or hiding the listing in order to avoid detection of a sale;

8.2.3. providing false information;

8.2.4. transferring the vehicle to related parties (spouse, partner, family member, a legal entity controlled by the user, etc.) in order to avoid the success fee;

8.2.5. transferring the vehicle through intermediaries in order to circumvent these terms.

8.3. If misuse is detected, it shall constitute a material breach of contract, automatically giving rise to an obligation to immediately pay Autoplius.lt a penalty (liquidated damages) equal to the success fee amount, regardless of whether the contract is terminated. In addition, Autoplius.lt has the right, at its sole discretion, to:

8.3.1. terminate the contract;

8.3.2. restrict or terminate the provision of the service;

8.3.3. block the user's account.

9. Dispute Resolution

9.1. A user who believes that the success fee or penalty (liquidated damages) has been applied unjustifiably has the right to submit a reasoned request within 14 calendar days from the payment date.

9.2. The user must submit all documents or information supporting the dispute.

9.3. When examining the dispute, Autoplius.lt may rely on:

9.3.1. data from Regitra;

9.3.2. the listing history;

9.3.3. user actions recorded in the system;

9.3.4. other available data.

10. Special Situations

10.1. If the vehicle is transferred free of charge during the service validity period (e.g. as a gift), this is treated as a sale (transfer). It is deemed that the service was used in accordance with these terms.

10.2. If the listing price was changed, or if the vehicle is sold for a price lower than listed (even without a price change), the fee is calculated based on the highest listed price.

10.3. If the vehicle is sold or transferred in any other manner to another person during the service validity period, i.e. an ownership change is detected, it is considered that the sale (transfer) occurred using the service.

10.4. The sale (transfer) of a vehicle is treated as a sale using the service regardless of the identity of the recipient (spouse, partner, family member, a legal entity controlled by the user, etc.).

11. Debt and Collection

11.1. If payment is not made on time, reminders are sent to the user.

11.2. The outstanding amount may be referred to a debt collection company.

11.3. The user may be charged additional fees related to debt collection, as well as late payment penalties (0.02% of the outstanding amount per calendar day of delay) and interest.

12. Service Restrictions

12.1. Autoplius.lt has the right to refuse to provide the service or to restrict its use.

12.2. The service may be unavailable to a user who has outstanding financial obligations.

12.3. The "Pay When You Sell" service may be used to sell only one vehicle at a time. After a listing is removed, Autoplius.lt monitors for an additional 30 calendar days whether a change of ownership has occurred. During this 30-day period, the user may not use the "Pay When You Sell" service to create or activate a listing for another vehicle. If it is determined during this period that the vehicle was transferred, it is considered that the service was used and the success fee applies. Once payment has been made, the user may use the "Pay When You Sell" service again. If no ownership change is detected within the 30-calendar-day period, it is considered that the vehicle was not transferred, and the user may use the service again to sell another or the same vehicle.

13. Amendment of Terms

13.1. Autoplius.lt has the right to amend these terms in accordance with the procedure established in the general Autoplius.lt Terms of Use.

13.2. Updated terms apply to new listings.

14. Final Provisions

14.1. Disputes shall be resolved in accordance with the laws and procedures of the Republic of Lithuania.
